Supplier Code of Conduct
Purpose
This Supplier Code of Conduct sets out InTalent Asia’s general expectations for suppliers, service providers, consultants, contractors, intermediaries, and other third parties that provide goods or services to, or otherwise support, the company.
InTalent Asia recognises that third party relationships can influence service quality, compliance, reputation, information security, privacy, and broader ESG performance. This Code is intended to describe the standards and behaviours the company may seek to promote in relevant supplier and service provider relationships.
Scope
This Code applies generally to suppliers, service providers, contractors, consultants, and other third parties engaged by InTalent Asia, to the extent relevant to the nature of the goods, services, access, or support they provide.
Application of this Code may vary depending on the size of the supplier, type of service, level of risk, contractual arrangements, operational importance, and applicable legal requirements.
Policy Statement
InTalent Asia seeks to work with third parties that operate in a lawful, ethical, responsible, and professionally competent manner. The company may take this Code, or principles reflected in it, into account when onboarding, assessing, managing, reviewing, or renewing third party relationships.
Suppliers and other third parties engaged by InTalent Asia are generally expected to conduct their activities responsibly and in a manner consistent with applicable laws, regulations, contractual obligations, and relevant company expectations communicated from time to time.
Key Expectations
InTalent Asia may expect relevant suppliers and third parties to:
- comply with applicable laws and regulations in the jurisdictions in which they operate
- conduct business ethically and with integrity
- avoid bribery, corruption, fraud, and improper business practices
- respect human rights and avoid forced labour, trafficking, child labour, and unlawful exploitation
- support fair and respectful workplace practices
- maintain appropriate confidentiality, privacy, and information security protections where relevant
- take reasonable care in relation to health, safety, and wellbeing where applicable
- support environmental awareness and responsible operational practices where appropriate
- cooperate with reasonable due diligence, contractual, compliance, or information requests relevant to the relationship
Supplier Focus Areas
01. Legal and Ethical Compliance
Suppliers are generally expected to operate lawfully and ethically and to avoid practices that could expose InTalent Asia to material legal, operational, privacy, security, or reputational risk.
02. Labour and Human Rights
Suppliers are generally expected not to engage in forced labour, bonded labour, human trafficking, unlawful child labour, or other exploitative or abusive labour practices.
03. Anti Bribery and Corruption
Suppliers should generally avoid bribery, kickbacks, improper inducements, and other corrupt or unethical conduct in connection with their work or relationship with InTalent Asia.
04. Confidentiality, Privacy, and Information Security
Where suppliers handle confidential information, personal data, candidate information, client data, systems access, or business sensitive materials, they are generally expected to maintain appropriate safeguards and handle such information responsibly.
05. Health and Safety
Where relevant to the services being provided, suppliers are generally expected to maintain appropriate health and safety practices consistent with the nature of their work and applicable legal requirements.
06. Environmental Responsibility
Assessment and Relationship Management
InTalent Asia may request information, documents, certifications, contractual commitments, or confirmations from suppliers from time to time where considered relevant to service quality, compliance, privacy, information security, ESG, or risk management.
The company may also take this Code into account in connection with onboarding, review, contract renewal, escalation, remediation discussions, or relationship decisions, where appropriate.
Reporting Concerns
Suppliers and other stakeholders may raise genuine concerns relating to serious misconduct, unethical behaviour, legal non compliance, exploitation, bribery, privacy issues, security concerns, or other material matters through designated company contacts where appropriate.
InTalent Asia may review such matters and determine the response it considers appropriate in light of the issue, contractual position, available information, risk exposure, confidentiality, and legal or operational requirements.
Monitoring and Review
InTalent Asia may review this Code and related supplier expectations from time to time and may update its approach based on business needs, supplier risk, legal developments, client expectations, or operational priorities.
Policy Status
This Code is intended as a general statement of InTalent Asia’s supplier expectations and approach to third party conduct. It does not, by itself, create contractual rights or obligations unless expressly incorporated into a separate agreement or otherwise required by applicable law.
InTalent Asia may interpret, amend, replace, suspend, or withdraw this Code at any time, subject to applicable legal and regulatory requirements.
Related Standards and Policies
This Code should be read together with the ESG Policy, Modern Slavery Policy, Anti Bribery Policy, Business Ethics and Code of Conduct, Corporate Governance Policy, Candidate Privacy Notice, Full Privacy Policy, and other related company policies or notices adopted by InTalent Asia from time to time.
Where relevant, aspects of supplier expectations may also be informed by the company’s operational and management practices aligned to ISO 9001, ISO 27001, ISO 27701, and ISO 45001.
